Terms for using Primnari.
These Terms and Conditions describe the general rules for schools, users, partners, and visitors who use Primnari’s website, software, and related services.
1. Acceptance Of Terms
By accessing Primnari, requesting a demo, creating an account, using the platform, or receiving Primnari services, you agree to these Terms and Conditions. If you are using Primnari on behalf of a school or organization, you confirm that you have authority to act for that school or organization.
2. Primnari Services
Primnari provides school operations software and related services for records, admissions, enrollment, attendance, finance, receipts, report cards, documents, communication, portals, training, implementation, and school administration. Primnari may also provide setup support, data onboarding, hardware guidance, printing support, ID card setup, webcams, printers, supplies, and launch services when included in a proposal, invoice, or agreement.
3. School Responsibilities
Each school is responsible for the accuracy of its data, the approval of its users, the legality of the information it collects, the policies it chooses to enforce, and the documents it publishes or provides through Primnari. Schools must provide accurate onboarding information and promptly correct incomplete, outdated, or inaccurate records.
4. User Accounts
Users must keep login credentials confidential, use the platform only for authorized school purposes, and access only the information appropriate for their role. Schools are responsible for assigning, reviewing, and removing access for staff, contractors, parents, students, and other users.
5. Acceptable Use
Users may not misuse Primnari, attempt unauthorized access, interfere with the platform, upload unlawful or harmful content, share accounts, bypass security controls, copy the software, reverse engineer the platform, or use Primnari in a way that violates applicable law or school policy.
6. School Data And Ownership
Schools retain responsibility for the school data they provide to Primnari. Primnari may process school data to deliver the platform, support users, configure workflows, prepare reports and documents, maintain security, and improve services. Primnari does not sell school, student, parent, or staff data.
7. Fees, Subscriptions, And Payments
Subscription fees, setup fees, training fees, hardware costs, printing support, supplies, implementation services, payment terms, renewal terms, and cancellation rules are governed by the applicable proposal, invoice, order form, or agreement accepted by the school.
8. Hardware And Third-Party Services
Primnari may recommend, source, configure, or support hardware and third-party services. Availability, pricing, warranties, delivery timelines, compatibility, and support obligations may depend on the manufacturer, supplier, carrier, or third-party provider.
9. Availability And Changes
Primnari works to provide reliable service, but the platform may be updated, improved, interrupted, or unavailable from time to time due to maintenance, technical issues, third-party services, security events, or circumstances outside Primnari’s control.
10. Intellectual Property
Primnari’s software, designs, workflows, brand, documentation, website content, and related materials are owned by Primnari or its licensors. Schools and users receive a limited right to use Primnari according to their agreement and these Terms.
11. Confidentiality
Primnari and each school may receive confidential information during onboarding, implementation, support, and platform use. Each party should protect confidential information and use it only for the purpose of providing or receiving Primnari services.
12. Disclaimers
Primnari is provided to support school operations, but schools remain responsible for decisions, policies, approvals, records, financial practices, academic judgments, legal compliance, and communications with families, staff, students, regulators, and partners.
13. Limitation Of Liability
To the fullest extent permitted by law, Primnari will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunity, except where a written agreement states otherwise.
14. Termination
Primnari or a school may suspend or terminate access according to the applicable agreement, payment status, misuse, security risk, legal requirement, or material violation of these Terms.
15. Updates To Terms
Primnari may update these Terms as the platform, services, laws, or business requirements change. Continued use of Primnari after updated Terms are posted or provided may indicate acceptance of the updated Terms.
